Andrew E. Weissman

Andrew is an accomplished business lawyer with extensive experience advising businesses, financial institutions, entrepreneurs and individuals in all aspects of sophisticated corporate transactions, mergers & acquisitions, complex finance deals, and corporate restructuring. At Legamaro Banipal LLP, Andrew represents foreign and domestic corporations (both public and private), partnerships and wealthy and entrepreneurially minded individuals and trusts in the analysis, structuring and negotiation of corporate and real estate transactions, leveraged buyouts, investment fund formation, reorganizations, debt placement, restructuring, consolidation and similar transactions.

Andrew regularly represents investment advisors, wealth managers and broker-dealers in connection with analyzing, structuring and establishing private funds and other investment vehicles.  He also regularly advises investment professionals on state and federal regulations and compliance issues impacting investment advisors and broker dealers, and assists investment advisors and wealth managers with the formation and registration of investment advisory businesses. 

Andrew also has significant experience representing banks, financial institutions and borrowers with commercial loans, securitizations, conduit loans and workouts. Andrew regularly negotiates and drafts a wide range of commercial agreements for clients including leases, asset purchase agreements, intellectual property and technology agreements, and procurement contracts. Andrew is a trusted adviser to his clients, using his legal experience, creativity and sound judgment to offer effective and timely counsel on transactions, business initiatives and disputes.

Andrew has recently represented:

 ·        the developer of a condominium and hotel development in St. Kitts and Nevis in connection with all aspects of the project including financing for the development, acquisition of real property on the Island of Nevis, negotiating government concessions, and advising on the capital and equity structure the development

·        a pharmaceutical company in connection with its reorganization from an Illinois corporation to a South Dakota corporation

·        the owners of a manufacturer of cutting edge automated parking systems in connection with the reorganization of the ownership structure from a Nevis company to a Delaware corporation, and the sale of the underlying business

·        a multi-family office and related investment advisor in connection with their structuring and formation, registration of the investment advisor with the SEC, preparing the ownership structure for the venture, and preparing private investment funds to channel the families’ investments
