About Ruby
Advisor to founders, investors, and global families
Ruby is a cross-border tax and deals lawyer who advises high-growth founders, family offices, and privately held companies on how to keep more of what they build—and scale it. She blends sophisticated tax planning with hands-on transaction execution, acting as a strategic partner from first financing through exits, secondaries, and generational transfers.
How Ruby Helps
Founder & investor strategy: Company/holding-company setup, stock architecture, QSBS, secondaries, and exit tax planning.
Cross-border structuring: U.S.–Canada and multi-jurisdiction planning for operating companies, IP, and investment platforms.
Capital & M&A: Term sheets to close—tax-efficient rounds, mergers, carve-outs, and post-deal integration.
Wealth design: Family entities, dynasty/charitable structures, private trust companies, and tax-aware investment flows.
White-glove execution: Direct coordination with bankers, accountants, trust officers, and counsel—one point of accountability.
Representative impact
Designed and executed a founder-friendly structure turning an anticipated ordinary-income outcome into eight-figure capital-gains treatment on exit.
Converted a multi-entity, multi-country operating group into a clean buyer-ready platform—closed above target valuation with minimal leakage.
Built a cross-border family structure that reduced ongoing tax drag while enabling co-investments and philanthropic goals.
Implemented pre-exit planning that preserved QSBS eligibility and multiplied exclusion across family vehicles.
Previously, Ruby was a member of the global private client practice at DLA Piper and was based out of DLA’s Chicago, Seattle, and Hong Kong offices. In this capacity, Ruby worked regularly with counsel in Asia, Europe, Canada and Latin America to service clients that are interested in making cross-border investments. Prior to that, she was an International Tax Consultant with a Big Four accounting firm. She also has prior experience working with the Internal Revenue Service Office of Chief Counsel and the Department of Justice, California Attorney General’s Office (Business/Tax Section).
